Do you provide support with corporate governance and company management?
Yes. Our Corporate Law services cover the full corporate lifecycle, including company incorporation, corporate governance advisory, shareholders’ agreements, bylaws and articles of association, board and shareholder meetings, corporate record keeping and ongoing compliance activities. Do you support clients after a transaction has closed?
Yes. Our involvement does not necessarily end at closing. We can support clients through integration activities, corporate restructuring, governance matters, contract implementation, post-closing compliance requirements and strategic legal advisory during the operational phase of the asset.
Can you advise on corporate restructurings and group reorganisations?
Yes. We advise renewable energy investors, developers and asset owners on the design and implementation of corporate restructurings and group reorganisations, including mergers, demergers, transformations, dissolutions and other reorganisation processes. Our support goes beyond the implementation of individual corporate transactions. We assess existing corporate structures and propose alternative organisational structures aligned with our clients’ strategic and operational objectives, taking into account legal, corporate and tax considerations. Where appropriate, we work alongside tax and other specialist advisors to identify and implement the most suitable structure.
We support the entire restructuring process, from the initial assessment and definition of the proposed corporate structure through to the preparation of the required corporate documentation, coordination with shareholders, boards, notaries and registries, and completion of the restructuring.
Can you help optimise complex corporate structures involving multiple project companies?
Yes. Renewable energy portfolios often involve multiple SPVs, holding companies and project-specific corporate structures. We help clients review and rationalise these structures, identifying opportunities to simplify corporate arrangements, streamline governance and facilitate future acquisitions, disposals, financings or reorganisations.
Based on the client’s objectives, we can propose and implement revised corporate structures, coordinating the legal, corporate and tax aspects of the reorganisation and managing the corporate steps required for its implementation.
Can you manage the implementation of a corporate restructuring from start to finish?
Yes. We can manage the full corporate implementation of a restructuring, from the initial analysis and definition of the target structure to completion of the relevant corporate actions. This includes preparing corporate approvals and documentation, coordinating execution before notaries and commercial registries, and managing the corporate formalities required to implement the new structure.
Following completion, our Company Secretarial (CoSec) services can also support the ongoing governance and corporate compliance of the reorganised group.
